Introduction
Welcome to Wedoe Search Group ("Wedoe Search Group", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website at wsgsearch.com and the recruiting and executive search services we provide ("Services"). By using the Site or engaging us for Services, you agree to these Terms. If you do not agree, do not use the Site or engage us.
Acceptance of Terms
By accessing wsgsearch.com or engaging Wedoe Search Group for executive search, contingent search, fractional, embedded, or any other recruiting service, you confirm that:
You are at least 18 years old and legally able to enter a binding agreement.
If you are entering into these Terms on behalf of a company or other entity, you have authority to bind that entity.
You will use the Site and the Services for lawful business purposes only.
Service Description
Wedoe Search Group provides executive search and recruiting services for venture-backed software, SaaS, AI, and data companies. Services include retained search, contingent search, fractional and embedded recruiting, candidate sourcing, screening, reference checking, and offer support.
The exact scope, deliverables, fees, timeline, and replacement terms for any engagement are set out in a separate written engagement letter or statement of work executed between Wedoe Search Group and the client. These Terms govern use of the Site and the general legal relationship. The engagement letter governs the work itself. If there is a conflict, the engagement letter controls for that engagement.
Engagement and Fees
Fees are set out in the engagement letter for each search. Retained search engagements use a milestone-based payment structure (kickoff, shortlist delivered, candidate placed). Contingent search engagements are paid on placement only, calculated as a percentage of the placed candidate’s first-year base salary as defined in the engagement letter.
Invoices are due within the timeframe stated in the engagement letter. Late payments may accrue interest at the rate stated in the engagement letter or, if not stated, at 1.5% per month or the maximum permitted by Minnesota law, whichever is lower. Wedoe Search Group reserves the right to suspend Services for any client account with overdue balances.
Confidentiality
Both parties will treat each other’s confidential information as confidential and use it only for the purpose of the engagement. Confidential information includes candidate identities, candidate information, role specifications, compensation data, strategic plans, financial information, and any information marked or reasonably understood to be confidential.
These confidentiality obligations survive the termination of any engagement for a period of three years. Candidate information shared by Wedoe Search Group with the client is provided in confidence and may not be shared with any third party (including other recruiters or recruiting platforms) without Wedoe Search Group’s written permission.
Non-Solicitation
During any active engagement and for a period of twelve months after the engagement ends, the client agrees not to:
Hire, engage, or offer employment to any candidate introduced by Wedoe Search Group, except through the engagement and subject to the agreed fee.
Share candidate information introduced by Wedoe Search Group with any other recruiting firm, internal recruiter, or third party for the purpose of pursuing the candidate outside this engagement.
If the client hires any candidate introduced by Wedoe Search Group within the non-solicitation window, the engagement fee remains payable in full as if the placement had been made under the engagement.
Intellectual Property
All content on wsgsearch.com, including text, graphics, logos, photographs, methodology descriptions, and the Wedoe Search Group brand and word marks, is owned by or licensed to Wedoe Search Group and protected by United States and international copyright and trademark laws.
You may not copy, reproduce, modify, republish, sell, or otherwise distribute any content from the Site without our prior written permission. The proprietary methodology, search frameworks, network maps, and candidate evaluation tools used by Wedoe Search Group remain the sole property of Wedoe Search Group. Engaging us for Services does not transfer any intellectual property rights to the client.
Liability Limitations
The Services are provided on an "as is" and "as available" basis. Wedoe Search Group makes commercially reasonable efforts to identify and present qualified candidates but does not guarantee that any specific candidate will accept an offer, that any placed candidate will perform to expectation, or that any candidate will remain employed for any specified period beyond what is expressly stated in the engagement letter’s replacement terms.
To the maximum extent permitted by Minnesota law, Wedoe Search Group’s total aggregate liability arising out of or related to any engagement is limited to the fees actually paid by the client to Wedoe Search Group for the engagement giving rise to the claim, in the twelve months preceding the claim. Wedoe Search Group is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, or loss of goodwill, even if advised of the possibility of such damages.
Indemnification
The client agrees to indemnify, defend, and hold harmless Wedoe Search Group, its officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
The client’s use of any candidate information in violation of these Terms or the engagement letter.
The client’s hiring decisions and employment relationships with any candidate.
The client’s breach of these Terms or any representation or warranty in the engagement letter.
Any third-party claim arising out of the client’s conduct in interviewing, hiring, or employing any candidate.
Term and Termination
These Terms remain in effect for as long as you use the Site or have an active engagement with Wedoe Search Group. Either party may terminate an active engagement under the terms set out in the engagement letter. Termination of an engagement does not relieve either party of any obligation accrued before termination, including payment obligations, non-solicitation obligations, and confidentiality obligations, all of which survive termination per their stated terms.
Wedoe Search Group may update these Terms from time to time. Material changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site or continued engagement after a posted change constitutes acceptance of the updated Terms. For any active engagement, the Terms in effect as of the engagement letter date control unless the parties agree in writing to apply the updated Terms.
Governing Law and Dispute Resolution
These Terms and any engagement letter are governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to conflict-of-law principles. The exclusive jurisdiction and venue for any dispute arising out of or related to these Terms or any engagement is the state or federal courts located in Hennepin County, Minnesota, and the parties consent to the personal jurisdiction of those courts.
Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute through direct negotiation between senior representatives of each party. If the parties cannot resolve the dispute within 30 days of written notice, either party may initiate non-binding mediation in Minneapolis, Minnesota under the rules of the American Arbitration Association. The cost of mediation is shared equally. If mediation does not resolve the dispute within 60 days, either party may pursue the matter in court per the preceding paragraph.
